BRX PRIVACY POLICY("Privacy Policy")

This Site (“Site”), including all structural aspects and all of the content herein, is operated by Bar & Restaurant Exchange Inc ("BRX") and either owned by BRX directly or licensed to BRX by the owner of said aspects and content.

As a User (“User/You”) of this Site and/or its contents, You agree that access to this Site is conditional upon Your acceptance of this document, including the Terms of Use of BRX and the Privacy Policy of BRX.

BRX reserves the right to modify or update this Privacy Policy from time to time with immediate effect and without prior notice to any User of this Site. It is the responsibility of each User to review this Privacy Policy periodically for updates. The date of the most recent modification to this Privacy Policy is indicated by the “Last Updated” date that appears at the top of this document.


PERSONAL INFORMATION Personal Information (“Personal Information”) is information that uniquely identifies You, such as Your name, address, email address and telephone number. Personal Information is one subset of User Content (see the BRX Terms of Use), meaning that all applicable provisions regarding User Content found in the Terms of User of BRX are also applicable to all Personal Information. At times, BRX may collect Your Personal Information to maintain Your account within BRX, to engage in email communication with You, etc. BRX may also collect Your Personal Information if You post, display and/or publish User Content on this Site. Additionally, when You enter any area of this Site that requires you to log-in to Your account, then this Site will recognize who You are and will collect information that You submit. Any information collected about You from this Site may be associated with other information that BRX has collected about You. All Users should remember that no User Content is held confidentially, and in some cases it will be publicly viewable. FINANCIAL INFORMATION The payment processors of BRX collect and use financial information and/or payment method information to process payment for any purchases or sales made on, or related to, this Site, to protect against or identify possible fraudulent transactions, and otherwise as may be reasonably needed to manage the business of BRX in connection with Your transaction. With Your opt-in, this financial data may be retained by our payment processors after Your transaction has been completed.

OTHER INFORMATION When You access this Site, BRX will automatically receives some information about Your use of this Site. The type of information that is automatically collected by BRX includes such things as the date and ti ofme of Your access this Site, the Internet protocol (IP) address of the Your device, the domain and host from which You access the internet, the type of browser software and operating system, the referring site address, and the specific activities You are engaged in while visiting this Site. This aggregate tracking information is used to help BRX improve and enhance the experience of this Site for all Users.

CONSENT BRX only collects, uses and/or discloses User Personal Information with the consent of said User. Your consent may be implied from the circumstances or may be expressly given for a particular purpose. For example, when User submits Personal Information to us, User is consenting to the collection, handling, use and disclosure of said Personal Information for the purposes identified or apparent at the time of collection and as otherwise described in this Privacy Policy. BRX does not knowingly collect or maintain any Personal Information from children under the age of 13, and no part of this Site is designed with the purpose of attracting such children.

USE OF PERSONAL INFORMATION Personal Information is used for the purposes for which it is submitted (such as to reply to User emails and inquiries, to allow User to participate in the various aspects of this Site). Your Personal Information may also be used in the following ways: to deliver materials and information to User, to give User notice of and/or resolve any problems that may arise in connection with our services, to better understand the needs and interests of User, to analyze the success of this Site, to manage this Site’s interactive functionality, to help BRX improve and enhance this Site experience for all Users, to customize the content on this Site, for compliance with BRX’s legal and regulatory obligations, to reasonably required to provide customer services and maintain this Site, and for any other purpose outlined in this Privacy Policy and/or the Terms of Use. We may also use Personal Information to contact User via direct postal mail and/or electronically regarding User relationship with BRX, to the extent such activity is permitted by law. This information may also be used to help BRX and its commercial partners deliver targeted advertisements, promotions and other initiatives to User.

*OPT-IN/OPT-OUT * At certain points where Personal Information is collected on our Site, there may be a box to indicate that You wish to receive certain information or communications from BRX. You may opt out of receiving certain electronic communications, such as emails from BRX at any time, although Users that have created an account on this Site do agree to receive a certain number of emails in exchange for the additional content they are given access to as a part of creating said account (see the BRX Terms of Use for further information). You may also opt-out of optional communications by contacting us via the contact information in “CONTACT US” and providing the contact information we are using to communicate with You, such as Your email address. Be sure to let us know the specific types of communications You no longer wish to receive.

USE OF PERSONAL INFORMATION WITHIN BRX In order to provide You with efficient and reliable experience and to improve product and service options available to all User, BRX may share the Personal Information of Users with our affiliated entities as required or permitted by applicable law. BRX affiliated entities are companies controlled or owned by BRX, or companies that control BRX, or companies that are under common control with BRX.

SERVICE PROVIDERS From time to time, BRX may hire third parties to assist us with certain functions and services, such as data processing, computer software maintenance and development, transaction processing, promotional and marketing services, customer service, professional, legal or accounting services and/or business and sales analysis. BRX may share User Personal Information, without restriction (and regardless of whether User have chosen to limit our sharing of User Personal Information as collected on this Site), with such companies that we hire to perform services for us. In such situations, BRX requires that these companies agree to maintain the confidentiality of User Personal Information and to comply with the safeguards described in this Privacy Policy. These companies have access to Personal Information needed to perform their functions but are not permitted to share or use such information for any other purposes.

OWNERSHIP CHANGE BRX may also share User Personal Information as required to allow for a change in ownership of any of the affiliated entities of BRX, and/or of any business(es) to which this Site relates, and the related transfer of User Personal Information to the new owner. In the event of any such change of ownership, User Personal Information will continue to be protected by the terms of this Privacy Policy unless and until User is notified of a change to the parameters therein, which would be displayed on this Site upon going into effect.

LAWFUL ACCESS, LEGAL ACTION, AND INVESTIGATIONS Personal Information may be disclosed to non-affiliated third parties as either permitted by, or to comply with, applicable laws and regulations. Personal Information may be transmitted through and stored on servers outside the home country of User, and may be accessed by authorities in those jurisdictions. We may disclose Personal Information if we believe it is necessary to investigate, prevent, or take action regarding suspected illegal activities or fraud, situations involving the physical safety of any person, violations of our Terms of Use and/or Privacy Policy, or otherwise in accordance with applicable law.

COOKIES This Site makes use of “cookies”, which are small data files which we may be sent to a User’s device as dictated by and in regards to the data we have collected about that User’s visits. These files contain information allowing us to recognize when a User is visiting this Site and to keep track of preferences and habits of that User. DISCLOSURE OF INFORMATION BRX will not sell or market Personal Information collected on this Site to non-affiliated third parties for their marketing purposes. However, BRX may disclose aggregated statistics about Users, along with anonymous information concerning individual Users of this Site. BRX may combine anonymous information and/or aggregate information collected with additional anonymous information collected from other sources. We may share anonymous information (including aggregate information) we collect regarding BRX Users with third parties (such as advisors, promotional sponsors, and investors) for various business purposes including conducting general business analysis, and developing this Site.

RETENTION OF PERSONAL INFORMATION Personal Information is retained as long as reasonably necessary for BRX to operate, to otherwise fulfill identified or apparent purposes, and for record-keeping. Personal Information thereafter is destroyed, erased or anonymized. Once anonymized, BRX undertakes not to re-identify the information. Personal Information gathered on this Site may continue to be displayed on this Site, or on any successor Site for as long as this Site or any successor Site exists, and may be archived by third party Sites. You may request that User Personal Information be removed from a particular part of this Site contacting us via the contact information in “CONTACT US”. To the extent permitted by applicable law, we reserve the right to refuse requests for the removal of Personal Information from this Site.

PROTECTION AND SECURITY OF INFORMATION BRX maintains reasonable standards of confidentiality and security for this Site and the Personal Information collected from this Site. Physical, technical, electronic and managerial procedures have been employed to safeguard the security and integrity of Personal Information collected through this Site. The Personal Information provided by Users is secured using industry standard security technology. BRX also restricts its own employees’ access to Personal Information. However, it is possible that someone may intercept or access communications, transmissions and/or Personal Information, and BRX is not responsible for such prohibited activity.

You must also seek to protect against unauthorized access to any passwords and/or accounts that User uses in connection with this Site, and You should always remember to log off of this Site once You have completed use of this Site, or if You step away from the computer during use of this Site.

In the event that BRX determines that there has been a security breach that results in the unauthorized disclosure of Personal Information to a third party, BRX will promptly notify the Users whose Personal Information it reasonably believes has been compromised by posting information on this Site and, if email contact is possible, also by sending an email advisory to the appropriate Users.

You are solely responsible for the security of any usernames and passwords which governs the access to Your account on this Site, and shall take precautions to keep this information private to prevent any unauthorized use. Neither BRX nor any other person or entity will be responsible for any losses, damages or consequences suffered due to careless or unauthorized use of Your usernames and passwords. SEVERABILITY If any provision of this Terms of Use or the application thereof is held invalid, the invalidity shall not affect other provisions or applications of this Terms of Use which can be given effect without the invalid provisions or application, and to this end the provisions of this Terms of Use are declared to be severable.
